Terms of Service

These Terms of Service ("Terms") govern your access to and use of ScrubPay's website and application (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of a healthcare facility or other organization, you're confirming that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

ScrubPay is a software platform that helps healthcare facilities post open positions, manage applicants, and run payroll for their own employees, and helps clinicians build a professional profile and apply to open positions. ScrubPay is a technology provider, not a staffing agency, and is not a party to any employment, contractor, or engagement relationship formed between a facility and a clinician. Facilities are solely responsible for their own hiring decisions, employment terms, compliance with employment law, and payroll and tax obligations for their employees.

You must be at least 18 years old to use the Service. You're responsible for maintaining the confidentiality of your account credentials and for all activity that happens under your account. You agree to provide accurate information when creating your account and to keep it up to date.

If you create a facility account, you represent that the organization, EIN, and job postings you provide are accurate and that you're authorized to act on that organization's behalf. You're responsible for the accuracy of every job posting, and for any employee, payroll, or candidate data you add to the Service. If you use the Service's payroll features, you're responsible for complying with all applicable federal, state, and local employment, wage, and tax laws for your employees — the Service is a tool to help you manage that process, not a substitute for your own compliance obligations, and using it does not transfer any of those obligations to ScrubPay.

If you create a clinician account, you represent that the professional information you provide — including licenses, certifications, and work history — is accurate and current, and that you hold any license or certification you list in good standing. Submitting an application through the Service does not guarantee an interview, offer, or any employment outcome. Any employment or engagement relationship that results from a connection made through the Service is between you and the facility directly, not with ScrubPay.

You agree not to:

• Provide false, misleading, or fraudulent information, including fabricated credentials, licenses, or company information.
• Access or attempt to access another user's account, data, or documents without authorization.
• Use the Service to send spam, harassing messages, or unsolicited communications.
• Attempt to interfere with, disrupt, or circumvent the security of the Service, including automated scraping, brute-force login attempts, or bypassing rate limits.
• Use the Service for any purpose that violates applicable law.
• Upload malicious files or content that infringes someone else's intellectual property or privacy rights.

We may suspend or terminate accounts that violate this section.

The Service includes optional AI-assisted features that can extract information from documents, draft content, or summarize data. These are provided as a convenience and starting point — AI output can be incomplete or inaccurate, and you're responsible for reviewing and confirming anything an AI feature produces before relying on it, saving it, or acting on it. AI-assisted results are never saved or published automatically without your review.

Payroll onboarding and processing features are provided in partnership with Zeal, a third-party payroll processor. Facilities that use these features are subject to Zeal's own terms in addition to these Terms, and are solely responsible for the accuracy of the employee and payroll information they submit.

ScrubPay and its licensors own all right, title, and interest in the Service itself, including its design, software, and branding. You retain ownership of the content and information you submit (your profile, job postings, documents, and similar), and you grant ScrubPay a license to use, host, and display that content as necessary to operate the Service and provide it to you and the other users you choose to share it with.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION SUBMITTED BY OTHER USERS (INCLUDING JOB POSTINGS, CREDENTIALS, OR PROFILES) IS ACCURATE. SCRUBPAY DOES NOT GUARANTEE ANY EMPLOYMENT OUTCOME, HIRE, OR ENGAGEMENT RESULTING FROM USE OF THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, SCRUBPAY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. [ScrubPay's total liability cap — e.g., fees paid in the preceding 12 months, or a fixed dollar amount — to be set here based on your business and insurance situation.]

You agree to indemnify and hold ScrubPay harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, or for any other reason with reasonable notice where practical. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

We may update these Terms from time to time. If we make material changes, we'll provide notice before they take effect, such as by email or a notice within the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.
